Terms of Service

These Terms of Service (“Terms”) govern your access to and use of https://mchatbot.ai (the “Site”) and, when made available to you, the mChatBot software platform, APIs, SDKs, and related services (collectively, the “Service”). The Site and Service are operated by Mahiruho Consulting Services Private Limited (“Mahiruho,” “we,” “us,” or “our”).

By accessing the Site, submitting forms, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Site or Service.

If you use the Site or Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. Definitions

  • Customer Content means data, prompts, messages, configurations, documents, and other materials you or your end users submit to or process through the Service.
  • End Users means individuals who interact with chatbots or channels you configure using the Service.
  • Order means an order form, statement of work, subscription confirmation, or similar commercial document between you and Mahiruho for the Service.

2. The Site

The Site provides marketing information, documentation summaries, waitlist and demo-request forms, and related materials about mChatBot. Site content is for general information. Marketing claims (including performance, cost savings, uptime, security posture, or launch dates) are illustrative and do not create contractual commitments unless expressly stated in an Order or other signed agreement.

3. The Service

mChatBot is an enterprise multi-agent chatbot platform intended to help customers build, deploy, and operate AI chatbots across supported channels (such as web, messaging, and voice), subject to availability and your configuration.

Features may change. Beta, pilot, or pre-release functionality may be incomplete, modified, or withdrawn without notice. Security certifications described as “in progress” are aspirational until formally completed.

Where an Order conflicts with these Terms on commercial terms (fees, term, service levels, or data processing addenda), the Order controls for that engagement.

4. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. When account registration is available, you must provide accurate information, keep credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity under your accounts.

5. Waitlist, demos, and communications

Submitting a waitlist, interest, or demo request does not guarantee access, pricing, or any service level. We may contact you about your request and related product information. You may opt out of marketing emails; we may still send transactional messages about your request or account.

6. Subscriptions, fees, and taxes

Paid access to the Service is subject to the fees, billing cycle, and payment terms in your Order. Unless otherwise stated, fees are exclusive of applicable taxes, which you are responsible for. Late or failed payment may result in suspension. Except as required by law or stated in an Order, fees are non-refundable.

The Site itself does not presently process payments. Any pricing shown on the Site is indicative only.

7. License and intellectual property

Subject to these Terms and your Order, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term for your internal business purposes.

We and our licensors retain all rights in the Site, Service, software, documentation, branding (including mChatBot), and underlying models and infrastructure, excluding Customer Content. You may not reverse engineer, resell, sublicense, or use the Service to build a competing general-purpose chatbot platform, except to the extent such restriction is prohibited by law.

Feedback you provide may be used by us without obligation to you.

8. Customer Content and data

You retain ownership of Customer Content. You grant Mahiruho a worldwide license to host, process, transmit, and display Customer Content solely to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy or a data processing agreement in an Order.

You represent that you have all rights and consents needed to submit Customer Content and to permit End User interactions, including compliance with messaging-platform policies, privacy, and sector rules applicable to your use case.

You are responsible for configuring retention, access controls, and integrations appropriately. Do not submit special-category or regulated data to the Service unless your Order expressly contemplates that use and required safeguards are in place.

9. AI outputs and customer responsibility

The Service may generate automated responses and other outputs using artificial intelligence. Outputs can be inaccurate, incomplete, or inappropriate. You must implement human oversight appropriate to your risk profile and must not rely on the Service as the sole basis for decisions with legal, medical, financial, or similarly significant consequences for individuals.

You are responsible for End User disclosures, consent where required, escalation paths, and the content of bots you deploy.

10. Channels and third-party services

You may connect third-party channels and tools (for example WhatsApp, Telegram, Slack, SMS providers, or cloud services) using your own accounts (“bring your own”). Those providers’ terms and policies apply to you. We are not responsible for third-party outages, policy enforcement, or fees charged by those providers.

The Site may use hosting, analytics, CAPTCHA, and email delivery providers as described in the Privacy Policy.

11. Acceptable use

You agree not to, and not to allow others to:

  • Violate applicable law or third-party rights
  • Use the Service for spam, fraud, malware, illegal surveillance, or harmful automated abuse
  • Attempt unauthorized access to the Site, Service, or related systems
  • Interfere with security, rate limits, or bot-protection mechanisms
  • Upload unlawful, infringing, or highly offensive content except as strictly necessary for legitimate security testing agreed with us in writing
  • Misrepresent affiliation with Mahiruho or mChatBot

We may suspend or terminate access for violations or to protect the Service, other customers, or End Users.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.

13. Beta and service availability

Unless an Order expressly includes a service level agreement, the Site and Service are provided on an “as is” and “as available” basis, without warranties of uninterrupted or error-free operation, merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

14. Indemnity

You will indemnify and hold harmless Mahiruho and its directors, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from Customer Content, your End Users’ use of bots you deploy, your integrations, or your violation of these Terms or law.

15. Limitation of liability

To the fullest extent permitted by law, Mahiruho will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to the Site, Service, or these Terms.

Subject to the conditions below, Mahiruho’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the subscription fees actually paid by you to Mahiruho for your then-current paid subscription billing period immediately preceding the incident giving rise to the claim (the “Liability Cap”). The Liability Cap is based on one billing period only.

The Liability Cap applies only if, at the time of the reported incident: (a) you are a customer on an active Paid plan; and (b) no fees are outstanding or overdue to Mahiruho under your Order or account.

For clarity, the Liability Cap is calculated on subscription fees only and excludes taxes, government charges, and any amounts paid or payable to third parties (including channel providers, payment processors, cloud or messaging platforms, and similar vendors). Such taxes, government fees, and third-party payments are beyond the scope of the Liability Cap.

If you are not on an active Paid plan with no amounts overdue at the time of the incident (including Site-only visitors, waitlist or demo requesters, free or trial users, and suspended or inactive accounts), Mahiruho’s aggregate liability arising from the Site or Service under these Terms is zero (INR 0), except where mandatory law provides otherwise.

If a signed Order states a different liability cap for that engagement, that Order controls for claims under that Order. Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent permitted by law.

16. Term and termination

These Terms apply while you use the Site or Service. Subscription terms and renewal are as stated in your Order. Either party may terminate an Order for material breach if not cured within thirty (30) days after written notice (or sooner if required to comply with law or protect security). Upon termination, your right to access the Service ends. We may delete Customer Content after a commercially reasonable period unless law or an Order requires longer retention. Sections that by nature should survive will survive termination.

17. Changes

We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes will be indicated on the Site or by notice to account contacts where applicable. Continued use after the effective date constitutes acceptance, except where mandatory law requires a different process for paying customers.

18. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory protections that cannot be waived, courts in Kolkata, West Bengal, India have exclusive jurisdiction over disputes arising from these Terms, the Site, or the Service.

19. General

If any provision is unenforceable, the remainder remains in effect. These Terms (together with your Order and the Privacy Policy, as applicable) are the entire agreement regarding the Site and Service and supersede prior understandings on that subject. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, or sale of assets.
